In order to receive daily price updates, you must indicate your acceptance of the following terms and conditions by entering your initials in the box below. The Clearing Corporation Settlement Price and Trade Data Subscription Agreement THIS AGREEMENT is made and entered into by and between The Clearing Corporation, a Delaware corporation ("CCorp"), and the subscriber of the Clearing Corporation's settlement price and trade data (the "Subscriber"). WITNESSETH: WHEREAS, CCorp is a Derivatives Clearing Organization (DCO) that lists certain Over-The-Counter ("OTC") contracts for clearing; and WHEREAS, CCorp settles the OTC contracts that it clears on a daily basis utilizing CCorp's daily settlement price and trade data; and WHEREAS, Subscriber wishes to receive CCorp's proprietary daily settlement price and trade data information; NOW, THEREFORE, in consideration of the premises and of the mutual covenants, agreements, representations and warranties contained herein, the parties hereto agree to amend such Agreement as follows: 1. Subscriber acknowledges and agrees that CCorp has exclusive rights in its settlement price and trade data, and that CCorp's settlement price and trade data constitute valuable confidential information, trade secrets, and/or proprietary rights of CCorp, unique to CCorp and not within the public domain, and that, but for this Agreement, the Subscriber would have no rights or access to CCorp's settlement prices. 2. Subscriber agrees that he or she may not use, disseminate, or copy any of CCorp's settlement price and trade data other than as expressly permitted in this Agreement. Specifically, Subscriber may utilize CCorp's settlement price and trade data only as such prices relate to Subscriber's trading and trade back-office processing of the OTC contracts that CCorp lists for clearing. 3. Subscriber agrees that he or she will not communicate or otherwise furnish, or permit to be communicated or otherwise furnished, CCorp's settlement price and trade data, in any format, to any other person. Subscriber agrees to take or cause to be taken any and all precautions to maintain the secrecy and confidentiality of CCorp's proprietary settlement price and trade data and to comply with all copyright protections. Subscriber agrees that CCorp or its agents have the right, on giving reasonable notice and at reasonable times, to access Subscriber's premises in order to verify that Subscriber is not redistributing CCpr's settlement price and trade data. 4. SUBSCRIBER AGREES THAT THERE ARE NO GUARANTIES, REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO CCORP'S SETTLEMENT PRICE OR TRADE DATA, OR THE TRANSMISSION, TIMELINESS, ACCURACY OR COMPLETENESS THEREOF, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OR ANY WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR QUALITY, WHETHER EXPRESS OR IMPLIED, IN LAW OR IN FACT, ORAL OR IN WRITING. SUBSCRIBER HEREBY ACKNOWLEDGES THAT IT HAS NOT RELIED UPON ANY WARRANTY, GUARANTY OR MADE BY CCORP WITH RESPECT TO ITS SETTLEMENT PRICE AND TRADE DATA. 5. Subscriber agrees that neither CCorp or any of its affiliates, nor any of their respective members, directors, officers, employees or agents, guarantees the sequence, accuracy or completeness of CCorp's settlement price and trade data, nor shall any of them be liable to Subscriber, any other individual, or any entity for any delays, inaccuracies, errors or omissions in Subscriber's settlement price and trade data, or in the transmission thereof, or for any other damages arising in connection with Subscriber's receipt or use of CCorp's settlement price and trade data. 6. Subscriber shall be solely responsible for any communication costs and any settlement price and trade data fees that CCorp might charge. 7. CCorp may at any time, without notice and penalty, and at CCorp's discretion, cease providing settlement price and trade data to Subscriber.
